PLEASE READ CAREFULLY BEFORE USING THIS PLATFORM
By accessing or using the FUNDAE platform (the “Platform”/
“FUNDAE”), you acknowledge that you have read, understood, and
unconditionally agree to be bound by these Terms and Conditions
(“Terms”) and our Privacy Policy. These Terms constitute a legally
binding agreement between you and Beeate Ecommerce (OPC) Private
Limited, with its registered office at 9527 C9 Vasant Kunj, New
Delhi – 110070, India. (“Company”/ “Beeate”/ “We”/ “Us”/ “Our”). If
you do not agree, you must immediately discontinue use of the
Platform. YOUR CONTINUED USE OF THE PLATFORM CONSTITUTES ONGOING
ACCEPTANCE OF THESE TERMS, INCLUDING ANY AMENDMENTS.
1. DEFINITIONS
In these Terms, the following terms shall have the meanings set out
below:

“Accompanying Adult” means the adult (18 years or older) who
physically accompanies a Minor to an Event and is responsible for
the Minor’s safety, conduct, and wellbeing during the Event.

“Applicable Law” means all applicable statutes, rules,
regulations, guidelines, notifications, judicial orders, and other
legal requirements in force in India.
-
“Booked Participants” means the specific number of individuals
(children and accompanying adults) declared and registered at the
time of booking.
-
“Event” means any performance, workshop, class, show, activity,
camp, party, or other program listed by the Event Organizer on the
Platform.
-
“Event Organiser” means any individual, school, organisation,
trust, or company or any other legal entity that lists an Event on
the Platform.
-
“Minor” or “Child” or “Children” means any person below the age of
18 years. For purposes of these Terms, the terms Minor and Child
are used interchangeably.

“Serviceable Area” means the Delhi National Capital Region (NCR),
comprising Delhi, Gurugram, Noida, Faridabad, Ghaziabad, and
Greater Noida, as updated by the Company from time to time.
-
“Third-Party Contact” means any person, including other Event
attendees, Event staff, Event organizer, volunteers, or
instructors, who is not a part of the Beeate team and whom a User
or Minor meets in connection with or at an Event listed on the
Platform.
-
“Ticket” means a confirmed booking or digital/physical entry pass
for an Event, issued upon successful payment and confirmation.
-
“User,” “You,” or “Your” means any adult (18 years or older) who
registers on, browses, or transacts through the Platform,
including a parent, legal guardian, or authorised adult acting on
behalf of a Minor.
- In these Terms:
- the singular includes the plural and vice versa;
- any gender includes all genders;
-
the words “include,” “includes,” and “including” shall be read
as followed by the words “without limitation”;
- references to “writing” include electronic communication;
-
headings are for convenience only and do not affect
interpretation;
-
references to “Applicable Law” include any amendment or
re-enactment thereof.
2. ELIGIBILITY AND ACCOUNT REGISTRATION

Age Eligibility The Platform may only be accessed and used to
create accounts, make bookings, and transact by adults who are 18
years of age or older. Minors may not independently register on
the Platform or purchase Tickets. By creating an account, you
expressly represent and warrant that you are at least 18 years of
age and are legally competent to enter into a binding contract
under the Indian Contract Act, 1872.

Geographic Restriction The Platform currently operates exclusively
within the Serviceable Area (Delhi NCR). Events listed and venues
referenced are limited to the Serviceable Area. Events outside the
Serviceable Area may not be listed, fulfilled, or supported.

Account Accuracy and Responsibility You agree to provide accurate,
current, and complete information during registration and to
update your account details promptly if they change. You are
solely responsible for maintaining the confidentiality of your
login credentials and for all activities conducted under your
account. You must notify the Company immediately at
fundaehelpdesk@gmail.com upon becoming aware of any unauthorised access to or use of your
account. The Company shall not be liable for any loss or damage
arising from your failure to maintain confidentiality of your
credentials.

One Account Per User Each User is permitted to maintain only one
active registered account. The Company reserves the right to
identify and terminate duplicate, fraudulent, or impersonation
accounts without prior notice and without liability.

2.5. Corporate or Institutional Users If you are using the
Platform on behalf of a school, organisation, or any other legal
entity, you represent and warrant that you are duly authorised to:
- accept these Terms on behalf of such entity
-
act as the guardians of the Minor(s) during any booked
events.You and such entity shall be jointly and severally liable
for any breach of these Terms.
3. SERVICES PROVIDED BY FUNDAE
-
Marketplace Intermediary
FUNDAE operates as an online marketplace and technology
intermediary that connects parents and guardians (“Users”) with
Event Organizers. The Company does not organize, conduct, host,
manage, supervise, or control any Event listed on the platform
unless expressly stated in writing. Beeate is not a party to any
contract formed between the User and the Event Organizer.

No endorsement or certification
Beeate conducts independent due diligence with respect to the
content of the organized Events and at the locations of the listed
Events to ensure the claims listed on FUNDAE are accurate,
however, listing of an Event on FUNDAE does not constitute as
Beeate endorsing, recommending, approving, or certifying the Event
Organizer/ the Event Content/ the venue/ any person associated
with the Event. Users are strongly recommended to conduct their
own independent due diligence before booking any Event for a
Minor.

Content Curation
While Beeate endeavours to curate age-appropriate content and
applies editorial standards, however we do not guarantee the
accuracy, completeness, suitability or safety of the Event
listings. All Event details – including dates, timings, venue, age
group, pricing, programme contents and descriptions – are provided
by the Event Organizers and are subject to change. Beeate shall
not be liable for any inaccuracy, omission, or change in Event
details caused by the Event Organizer.

No Professional Advice
Nothing on the Platform constitutes medical, psychological,
nutritional, educational, or any other professional advice.
Parents and guardians must make their own informed decisions
regarding the suitability of any event for their Child, taking
into account the child’s physical condition, health requirements,
age and abilities.
4. BOOKING AN EVENT WITH FUNDAE

Booking process
A Ticket booking is confirmed only upon:
- submission of all required participant information;
- successful payment on the platform; and
-
receipt of booking confirmation along with Ticket received via
email, SMS, in-app notification or post/courier from the
Company
Mere initiation of payment or receiving bank confirmation of
completion of payment does not constitute a confirmed booking.
-
Mandatory participant declaration
The number of participants (children and accompanying adults)
declared and registered at the time of booking is FINAL and
BINDING. Only the Booked Participants whose details have been
registered on the Platform, and whose requisite documents have
been provided at the time of ticket booking shall be permitted to
attend the Event. No additional participants will be allowed entry
at the venue under any circumstances, regardless of the reason,
including last -minute additions, substitutions, or claims of
prior arrangement with the Event Organizer. The Event Organizer
may refuse entry to any person not listed as a Booked Participant,
without any obligation to refund. At the time of booking, the
following information must be accurately declared:
- The total number of adults attending the Event;
-
The total number of Children attending the Event;
Any
attempt to misrepresent the number of participants shall be
treated as a material breach of these Terms and may result in
cancellation of the booking without refund and suspension.

Mandatory Adult Accompaniment
Every Minor attending an Event booked through FUNDAE MUST be
accompanied by an Accompanying Adult (aged 18 years or above)
whose details have been furnished at the time of making of the
booking, unless the Event is designated as a ‘SUPERVISED DROP-OFF’
event by the Event Organizer, and such designation is clearly
indicated on the Event Listing on FUNDAE. No Minor shall attend
any Event alone or be left unaccompanied at the venue without the
supervision of a responsible adult. The Event Organizer may refuse
entry to or remove from the venue any Minor who arrives without an
Accompanying Adult, and no refund shall be provided in such
circumstances.
The Accompanying Adult will be solely responsible for:

The Minor’s physical safety, conduct, and well-being throughout
the Event;
-
Ensuring the Minor follows all rules, guidelines, and
instructions issued by the Event Organiser;
-
Supervising the minor at all times, including during breaks,
transitions and venue entry/ exit;
-
Remaining available and reachable at the venue or in its
immediate vicinity for the duration of the Event.
In the
case of Supervised Drop-Off Events, the Event Organizer’s staff
assumes supervisory responsibility only for the duration
expressly stated in the Event listing. The Accompanying Adult
remains responsible for drop-off and pick-up punctuality and is
expected to provide emergency contact details.

Disclosures to be made at the time of booking
You are required to disclose, at the time of booking any of the
following:
- Any relevant medical condition
- Allergy
- Dietary restriction
- Physical limitation
-
Special needs of Minor that affect their ability to safely
participate in the Event or that requires accommodation by the
Event Organizer
Failure to disclose such information releases Beeate and the
Event Organizer from all liability arising from any adverse
medical event, allergic reaction, or injury attributable to such
undisclosed condition. Beeate does not independently assess or
verify health disclosures; it is the User’s responsibility to
ensure disclosures are accurate and complete.
5. TICKETING, PAYMENTS, REFUNDS AND CANCELLATIONS

Payment processing
All payments are processed through third party payment gateways
integrated with the Platform. Beeate does not store complete card
or banking credentials. Payment processing is subject to the terms
and privacy policies of the respect payment gateways. Beeate is
not liable for payment failures, delays or unauthorized
transactions caused by such third-party processors, though it will
use reasonable efforts to assist in resolution.

Pricing, fees and taxes
Ticket prices are set by Event Organizers. Prices displayed may
include a platform service fee/ convenience fee and applicable GST
at prevailing rates. A digital invoice/ receipt will be provided
upon successful booking. All taxes are the user’s responsibility.

Refund and cancellation policy.
5.3.1.
Cancellation by User
-
More than 48 hours before start of Event: Full refund of Ticket
price, minus the non-refundable platform convenience fee.
-
Between 24 and 48 hours before Event starts: 50% refund of the
Ticket price only, minus the non-refundable platform convenience
fee.
-
Within 24 hours of the start of the Event, or no-show: No
refund.
-
If there is any kind of non-compliance by the User such as not
providing the requisite participant declaration, or
non-fulfilment of adult accompaniment requirements, there will
be no refund.
5.3.2. Cancellation or Material Change by Event
Organizer
If an Event is cancelled by the Event Organizer, or if a
material change is made (change of date, venue, or significant
alteration of content) without prior User consent, the User
shall be entitled to a full refund including convenience fees.
Beeate will use commercially reasonable efforts to notify Users
promptly.
5.3.3. Refund processing
Approved refunds will be credited to the original payment method
within 7 to 10 business days subject to banking timelines. The
Company shall not be liable for delays attributable to banking
institutions or payment processors.

Ticket transfer and resale
Tickets are non-transferable and may not be resold, gifted, or
assigned to a person not listed as a Booked Participant, without
the prior written consent of the Event Organiser and the Company.
Entry will only be granted to the Booked Participants whose
details were registered at booking. Unauthorised transfer or
resale may result in cancellation without refund and permanent
account suspension.

Booking errors
You are solely responsible for reviewing all booking details,
including the number of participants, participant names, Event
date, time, and venue, before completing payment. Beeate shall not
be liable for errors made by the User during the booking process.
Requests for correction of booking details after payment shall be
considered on a case-by-case basis and are not guaranteed.

Pricing and display errors
In the event that a Ticket is displayed at an incorrect price due
to a typographical, technical, or human error on the Platform, or
if you are able to complete a booking before its scheduled on-sale
date, or for a Ticket that was not intended to be released for
sale, Beeate reserves the right to cancel that booking and refund
the amount paid, irrespective of whether the error was caused by
Beeate or the Event Organiser. Acceptance of such a booking by the
Platform does not constitute a binding commitment by Beeate to
honour it at the erroneous price.

Order confirmation responsibility
If you do not receive a booking confirmation (in the form of a
confirmation screen, email, or SMS) after submitting payment, it
is your sole responsibility to verify the status of your booking
through your account’s booking history or by contacting our
Customer Support team before attempting to rebook. Beeate will not
be responsible for financial loss or inconvenience arising from a
duplicate booking made by a User who assumed that an original
booking was unsuccessful due to the absence of a confirmation
notification.

Accepted payment methods
The Platform accepts payments through the following methods: UPI,
credit cards (Visa, Mastercard, American Express), debit cards
(Visa, Mastercard,RuPay), net banking, and such other payment
methods as may be made available on the Platform from time to
time. Beeate reserves the right to add, modify, or discontinue
accepted payment methods without prior notice. Certain payment
methods may attract additional processing fees, which will be
informed at the time of checkout.

Verification of billing information
Certain bookings may be processed only after billing details have
been verified. If Beeate is unable to verify your billing
information, it may cancel your booking and attempt to contact you
using the details provided at the time of purchase. If Beeate is
unable to reach you, your booking may be cancelled and the Ticket
may be made available to other users. Beeate shall not be liable
for any loss arising from cancellation due to billing verification
failure.

Cancelled, postponed or rescheduled events
Events may be cancelled, postponed, or rescheduled by the Event
Organiser at any time. Beeate will use reasonable efforts to
notify affected Users via email, SMS, or in-app notification.
Showtime, venue, and Event details may change without prior notice
for operational reasons beyond the Company’s control. In case of
cancellation by the Organiser, refunds shall be processed in
accordance with Section 5.3.2. In case of postponement or
rescheduling, the User’s options (including the right to a refund)
shall be communicated on a case-by-case basis depending on the
effect of rescheduling. Minor rescheduling may not entitle the
User to a refund.

Ticket security and fraud prevention
Your Booking ID and Ticket are valuable documents. Beeate will
NEVER ask for your Personal Identification Number (PIN), OTP, or
full card details over the phone, email, or any medium other than
the secure transaction page on the Platform at the time of
booking. Do not entertain any person claiming to be a Beeate
representative who offers to sell Tickets, gift vouchers, or
special offers outside the Platform. If you encounter any such
activity, report it immediately to fundaehelpdesk@gmail.com and
your local police station. You are solely responsible for the
security of your Booking ID and Ticket. Any person in possession
of your Booking ID may be permitted entry to the Event by the
Event Organiser without further identity verification. You must
ensure that your Booking ID is not shared with, compromised by, or
transferred to any unauthorised person. Beeate shall not be liable
for any loss arising from the compromise or misuse of your Booking
ID.

Do not share screenshots or printouts of your Booking ID on
social media or with unknown persons.
-
Beeate Tickets are never to be purchased from third-party
sellers, touts, or resellers. Any such Ticket may be invalid.
-
Report suspected ticket fraud or black-marketing immediately to
fundaehelpdesk@gmail.com
and local law enforcement.
6. CHILD SAFETY AND PARENTAL RESPONSIBILITY
-
Beeate’s commitment to child safety
The safety, dignity, and wellbeing of children is the cornerstone
of the Fundae platform. Beeate has a zero-tolerance policy for any
content, conduct, or activity that endangers, exploits, abuses, or
harms Minors. All Platform features, policies, and partnerships
are designed with child protection as a primary consideration.

Responsibility of parent and guardian
As the User booking an Event for a Minor, you assume full parental
and guardian responsibility for your child’s participation.
Specifically, you are solely and entirely responsible for:
-
Assessing whether the Event is physically, emotionally, and
developmentally appropriate for your child;
-
Ensuring your child is medically fit to participate in the
activities described in the Event listing;
-
Supervising your child at and around the Event venue through an
Accompanying Adult;
-
Providing accurate health, dietary, and special needs
information to the Event Organiser;
-
Ensuring your child understands and complies with the Event
Organiser’s rules and instructions;
-
All consequences arising from your child’s participation in the
Event.
-
Compliance and reporting
Any content, listing, or conduct on the FUNDAE Platform that is
sexually suggestive, exploitative, abusive, or harmful to Minors
will be removed immediately and reported to the appropriate
authorities. Users who encounter any such content or conduct must
report it immediately to our Child Safety Officer at
fundaehelpdesk@gmail.com or
via the in-app reporting feature. All reports will be treated with
strict confidentiality and acknowledged within 24 hours.

Event organizer screening
Beeate conducts basic verification of Event Organisers, which may
include verification of business registration and review of Event
content descriptions. However, Beeate does not conduct criminal
background checks on individual staff, instructors, volunteers, or
associates of Event Organisers.

Photography and videography at events
Beeate is not responsible for any photography, videography, or
audio/video recording by Event Organisers that takes place at
Events conducted by them. Photography of minors is strictly
prohibited under Beeate’s terms and conditions for Event
Organizers. If you have concerns about unauthorised recording of
your child, you may raise them with Beeate at
fundaehelpdesk@gmail.com
directly with the Event Organiser. By Agreeing to these Terms and
Conditions, the User consents to and specifically allows Beeate to
collect photographs or videos during events for promotional or
documentation purposes.

Reporting safety concerns
To report any child safety concern, incident, or complaint
regarding the Platform or any listed Event, please contact: Child
Safety Officer, Beeate Email: fundaehelpdesk@gmail.com We are
committed to responding to all safety concerns within 48 hours of
receipt.
7. THIRD PARTY CONTACT DISCLAIMER
Disclaimer: Beeate serves solely as a platform to discover and book
events. The Company has no control over, and bears no responsibility
for, any interactions, relationships, or acquaintances formed
between Users, Minors, or any other individuals (including other
attendees, parents, Event staff, volunteers, or instructors) at or
in connection with any Event listed on the Platform.

Post-Event Relationship Disclaimer
If you or your child forms a personal relationship, acquaintance,
friendship, professional connection, or any other association with
a Third-Party Contact met at or through an Event listed on the
Platform, the Company bears absolutely no responsibility for any
consequence, loss, harm, damage, injury, financial loss, emotional
distress, or legal liability of any nature arising from such
relationship or association, whether occurring during, after, or
as a result of the Event.
This includes but is not limited to:

Any financial loss, fraud, or cheating suffered as a result of a
transaction, loan, investment, or dealing with a Third-Party
Contact;
-
Any physical, emotional, psychological, or sexual harm suffered
by a User or Minor as a result of continued association with a
Third-Party Contact;
-
Any criminal act committed by or against a User or Minor by a
Third-Party Contact;
-
Any dispute, disagreement, or conflict arising from a personal,
professional, or commercial relationship formed with a
Third-Party Contact;
-
Any harm arising from sharing personal contact details, home
addresses, or social media profiles with Third-Party Contacts at
or after an Event.
-
User’s Duty of Care in External Contacts
You are strongly advised to exercise independent judgment, due
diligence, and caution before sharing personal information with,
or entering into any offline or online interaction, relationship
or transaction with, any Third-Party Contact met at an Event.
Beeate does not verify, screen, or conduct personal
background-check of individual attendees, parents, or any
participants at Events. The existence of a shared event on the
Platform does not imply any endorsement, guarantee, or warranty of
the character, credentials, or trustworthiness of any Third-Party
Contact including the event organizer.
Parents are particularly cautioned to:

Monitor their child’s interactions with adults and other
children met at Events;
-
Teach their child about personal safety and the importance of
not sharing personal information with strangers;
-
Report immediately to the Company and appropriate authorities
any suspicious behaviour by any person connected to an Event;
-
Not assume that any adult present at an Event has been
background-checked or vetted by the Company.
8. SAFETY AT EVENTS
-
The Company does not own, operate or manage the venues at which
Events are held. Venue safety, adequacy of facilities, hygiene,
emergency procedures, and compliance with applicable regulations
are the sole responsibility of the Event Organiser and the venue
operator. The Company makes no warranty regarding the safety or
suitability of any venue.
-
Many Events listed on the Platform involve physical activity,
sports, adventure activities, or arts and crafts involving tools,
materials, or equipment. Participation in such Events carries an
inherent risk of minor or serious physical injury. By booking an
Event, you acknowledge these inherent risks and assume full
responsibility for your child’s participation. The Company shall
not be liable for any injury, illness, accident, death, property
damage, or any other loss suffered by a Minor or adult at or in
connection with an Event.

In the event of a medical emergency at an Event, first-response
measures are the responsibility of the Event Organiser and
Accompanying Adults at the venue. The Company is not a party to
medical decisions made at an Event. You are advised to carry your
child’s necessary medical records, prescribed medications, and
emergency contact information to every Event. The Company shall
not be liable for any delay in medical assistance or for any
adverse medical outcome at an Event.

The Company shall bear no liability for any incident in which a
Minor becomes lost, separated, or goes missing at or in connection
with an Event. Responsibility for the safety and whereabouts of a
Minor at all times rests with the Accompanying Adult. In the event
a Minor goes missing at an Event, Accompanying Adults must
immediately contact the Event Organiser, venue security, and the
police (Dial 100 or 112). Parents are advised to familiarise their
child with their emergency contact information before attending
any Event.

The Company shall not be liable for any failure, cancellation, or
disruption of an Event caused by circumstances beyond its or the
Event Organiser’s reasonable control, including but not limited
to: Acts of God, natural disasters, earthquake, flood, fire,
severe weather; pandemic, epidemic, or public health emergency;
government orders, civil unrest, riots, curfew, or public
authority action; failure of third-party infrastructure (internet,
power, transport); venue closure; or any other event of force
majeure. In such cases, the Company will endeavour to notify Users
and facilitate refunds where possible.
9. USER OBLIGATIONS

You agree to use the Platform only for lawful purposes and in a
manner consistent with these Terms and Applicable Law. You shall
not:

Provide false, misleading, or inaccurate participant, or
personal information;
-
Book Events with no intention of attending or for speculative
purposes;
-
Attempt to gain entry for participants not listed as Booked
Participants;
-
Post, transmit, or share any content that is defamatory,
obscene, offensive, or harmful to Minors;
-
Engage in fraudulent activity, including misrepresentation of
identity or payment details;
-
Circumvent geographic restrictions, security features, or access
controls of the Platform;
-
Scrape, harvest, or collect data from the Platform without
authorisation;
-
Impersonate any person, including other Users, Event Organisers,
or Company personnel;
-
Use the Platform for commercial resale of Tickets or bulk
bookings without written consent;
- Upload or distribute malware, viruses, or harmful code;
-
Record, photograph, or film other Minors at Events without
explicit consent of their parents/guardians and the Event
Organiser.
-
You and your child are expected to conduct yourselves with
respect, courtesy, and decorum at all Events. Any abusive,
violent, threatening, or inappropriate conduct at an Event may
result in removal from the venue, cancellation of your Ticket
without refund, suspension or permanent termination of your
account, and, where warranted, reporting to law enforcement
authorities.

If you submit reviews, ratings, or comments about Events, you
warrant that such content is accurate, based on genuine personal
experience, and does not contain defamatory, misleading, or
commercially motivated statements. Reviews must not be submitted
in exchange for any payment, benefit, or incentive from an Event
Organiser. The Company reserves the right to remove any content
that violates these Terms. By submitting content, you grant the
Company a non-exclusive, royalty-free, perpetual licence to use,
display, and distribute such content in connection with the
Platform.
10. INTELLECTUAL PROPERTY RIGHTS

All intellectual property on the Platform including the Beeate
trademark, logo, name, software code, design, interface, graphics,
text, algorithms, and compilations, is owned by or exclusively
licensed to the Company and is protected under Indian and
international intellectual property law. No licence or right is
granted to Users to use such intellectual property except as
strictly necessary to use the Platform for its intended purpose.

You may not copy, reverse-engineer, decompile, disassemble,
reproduce, redistribute, frame, scrape, or create derivative works
from any part of the Platform or its content without the Company’s
prior written consent. Any unauthorised use may result in account
termination and legal action.

Content you submit to the Platform (reviews, photos, comments)
remains your property. By submitting, you grant the Company a
worldwide, non-exclusive, royalty-free, sub-licensable, perpetual
licence to use, reproduce, modify, and display such content for
Platform operation and promotion. You warrant that such content
does not infringe any third-party rights.
11. INDEMNIFICATION
You agree to fully indemnify, defend, and hold harmless the Company
and its directors, officers, employees, agents, licensors, and
partners from and against any and all claims, losses, liabilities,
damages, penalties, costs, and expenses (including reasonable legal
fees) arising out of or relating to:
- Your use or misuse of the Platform;
- Your violation of these Terms or any Applicable Law;

Your provision of false, inaccurate, or fraudulent information,
including participant numbers or other relevant details;
-
Any act or omission of your child or any Minor in your care at an
Event;
-
Violation of any third-party right, including intellectual
property or privacy rights;
-
Any dispute between you and an Event Organiser or Third-Party
Contact;
-
Any harm or loss arising from a relationship or interaction with a
Third-Party Contact met at an Event.
This indemnification obligation shall survive termination of your
account and your use of the Platform.
12. GRIEVANCE REDRESSAL
For any grievance that you may have in connection with the use of

13. ACCOUNT SUSPENSION AND TERMINATION

The Company reserves the right to suspend or permanently terminate
any User account, with or without notice, for: (a) breach of these
Terms; (b) provision of false information; (c) fraudulent,
abusive, or illegal activity; (d) conduct harmful to Minors, other
Users, or the Company; (e) extended inactivity; (f) if the Company
is unable to verify or authenticate any information provided by
the User; or (g) if the Company determines that the User’s actions
may infringe any third-party right, breach Applicable Law, or
otherwise result in liability for the Company or other Users. Upon
termination, access to the Platform ceases immediately.

A suspended User may not register or attempt to register a new
account or use the Platform in any manner until reinstated by the
Company. The Company reserves the right to recover from the User
any amounts owed to the Company and to take such legal action as
it deems appropriate for breach of these Terms.
15. IP INFRINGEMENT – NOTICE & TAKEDOWN POLICY

The Company is not liable for third-party content uploaded,
transmitted, or published on the Platform. However, the Company
respects intellectual property rights and will respond to valid
notices of copyright infringement

If you believe that any content on the Platform infringes your
copyright or other intellectual property right, you may submit a

including the following details in their communication: (a) your
contact details; (b) a description of the copyrighted work claimed
to be infringed; (c) the specific URL or location of the allegedly
infringing content on the Platform; (d) a statement that you have
a good-faith belief that the use of the content is not authorised
by the copyright owner; and (e) your physical or electronic
signature.

Upon receipt of a valid complaint, the Company will review and, if
appropriate, remove or restrict access to the allegedly infringing
content within a reasonable period. In cases of repeated
infringement by a User, the Company reserves the right to
terminate that User’s account.

Users may also report any other objectionable content (content
harmful to Minors, defamatory material, or content that violates
applicable law) to the above-mentioned. The Company will review
such reports and take appropriate action at its sole discretion.
16. NOTICES
All notices from the Company to Users will be delivered via: (a)
email to the registered email address; (b) SMS to the registered
mobile number; or (c) in-app notification on the Platform. Notices
shall be deemed delivered 48 hours after dispatch by email, or
immediately upon in-app notification. It is your responsibility to
keep your registered contact details current and accurate. The
Company shall not be liable for failure to deliver notices caused by
outdated or inaccurate contact information provided by the User.
Notices from Users to the Company must be sent in writing (in
English) to:

to the registered office address of Beeate Ecommerce (OPC) Private
Limited as notified on the Platform.
17. MISCELLANEOUS

Entire Agreement
These Terms, together with the Privacy Policy and any other
policies incorporated by reference, constitute the entire
agreement between you and the Company and supersede all prior
agreements, representations, and understandings relating to the
Platform and Services.

Severability
If any provision is found by a competent court to be invalid,
void, or unenforceable in whole or in part, such invalidity shall
attach only to that provision or part, and the remaining
provisions shall continue in full force and effect.

Waiver
Failure or delay by the Company to exercise or enforce any right,
claim, or remedy under these Terms shall not constitute a waiver
of that right, claim, or remedy, and shall not affect the
Company’s right to enforce it at any later time.

Assignment
You may not assign, transfer, or sub-licence your rights or
obligations under these Terms without the Company’s prior written
consent. Any purported assignment in violation of this clause is
void. The Company may freely assign, transfer, or delegate these
Terms in connection with a merger, acquisition, corporate
restructuring, or sale of assets, without your consent.

Language
These Terms are drafted in the English language. In the event of
any translation, the English version shall prevail in all
respects.

Electronic Contracting
You acknowledge that these Terms are concluded electronically and
have the same legal force and validity as a contract executed in
writing, in accordance with the Information Technology Act 2000.

Force Majeure
The Company shall not be liable for any failure or delay in the
performance of its obligations caused by events beyond its
reasonable control, including but not limited to: Acts of God,
natural disasters, pandemic, epidemic, government orders, civil
unrest, strike, failure of third-party infrastructure, power
failure, or court orders. The Company will endeavour to notify
affected Users and resume services as soon as practicable.

Governing Law and Jurisdiction
This agreement shall be governed by and constructed in accordance
with the laws of India without reference to conflict of laws
principles and disputes arising in relation hereto shall be
subject to the exclusive jurisdiction of the courts at New Delhi.
